German Amazon FBA Seller Sets Up Irish LTD for OSS VAT — Six EU VAT Registrations Replaced with One OSS Return
Background: Pan-EU FBA created VAT compliance sprawl
The seller had launched on Amazon DE in 2019 and grown to Pan-EU FBA across six marketplaces. By 2024 the entity held local VAT registrations in DE, FR, IT, ES, NL and PL — six monthly VAT returns, six different filing portals, six accountants, six EUR-denominated bank flows. The seller’s German GmbH structure plus six VAT registrations plus three different fulfilment-by-Amazon agreements were costing roughly €18,000 a year in compliance overhead before any errors. The simplification target: collapse all six into one Irish LTD using the Union OSS scheme.
The challenge: clean migration without disrupting sales
An Amazon seller cannot simply switch invoicing entities mid-quarter. Amazon Seller Central requires consistent legal entity, bank account and tax-ID disclosures; mismatches trigger account holds. Pan-EU FBA stock physically located in DE, FR, IT, ES, PL warehouses still requires local VAT in some configurations even after Union OSS adoption. And the seller’s marketplace Buy Box performance had to be protected through the migration window.
The solution: Irish LTD, Union OSS, Amazon SPN-coordinated migration
Chern & Co worked with the seller’s Amazon SPN consultant to plan the migration:
- A1 incorporation of the Irish LTD with the founder as sole shareholder and director (no nominee needed — German residency satisfies Section 137 EEA requirement) — days 1–10
- RBO declaration filed — day 12
- Revenue tax registration: CT and VAT (Union OSS scheme) — week three
- Amazon Seller Central legal-entity update via SPN, with new VAT and tax-ID details synced before stock movements — week four
- Pan-EU FBA reconfigured under the Irish LTD, local VAT registrations queued for de-registration where Union OSS now covers the obligation
- Quarterly OSS return template implemented in our compliance system
The outcome: simpler compliance, ~€14k annual savings
Within month two the seller filed his first quarterly Union OSS return covering all EU B2C distance sales from a single Irish LTD. Local VAT returns in DE, NL, PL were de-registered (FR, IT, ES retained for stock-location reasons). Total compliance overhead dropped by an estimated €14,000 per year, and the seller’s Buy Box and account health metrics on Amazon were unaffected through the migration window.
“We replaced six EU VAT registrations with one OSS return. Chern & Co handled the migration, the Pan-EU FBA enrollment and the Amazon SPN side without disruption to sales.”
