Do EU / EEA residents need a Section 137 bond?
No. Section 137 of the Companies Act 2014 only requires a non-EEA director bond when a company has no EEA-resident director. As an EU or EEA resident you satisfy the director requirement yourself, so no bond and no nominee director are needed. This is what makes the EU/EEA route the simplest and cheapest way to form an Irish company. (EEA = the EU 27 plus Norway, Iceland and Liechtenstein.)

IPN number for One Company Director
All company directors must submit their PPS (Personal Public Service) numbers when filing certain forms to CRO including company formation form. IPN (Identified Person Number) is equivalent to PPSN which must be obtained for every non-resident director of an Irish company for further CRO filings.

All the Irish companies must file their beneficial ownership information with the Central Register of Beneficial Ownership (RBO) within 5 months from the registration date. We will take care of it.

Corporation Tax Registration
Basic Must-Have Registration for the Company to start trading. Every company must be registered within 1 month after the first transaction.
Directors must obtain a Personal Public Service (PPS) Number to fulfill tax obligations in Ireland and complete all filings.
Proprietary Directors (with over 15% ownership) must register for annual income tax regardless of additional income
Every Irish company must have a common seal under section 43(1) of the Companies Act 2014, engraved with the company name. The seal is what gives your share certificates statutory evidential force under section 99(1). We arrange it and have your certificates ready to be sealed within the two month window set by section 99(2).

What is not included: your first annual return
Your first annual return, Form B1, is not part of this package. It is due within 56 days of your Annual Return Date, which falls six months after incorporation. Late filing attracts fees, and a second late filing within any five year period costs the company its audit exemption for that year and the following one, under section 363 of the Companies Act 2014 as amended on 16 July 2025. We will remind you in advance and can file it for you as a separate service.
