Italian Fashion Brand Sets Up Irish LTD for IP Holding and EU Licensing — 6 Weeks End to End

Background: scattered trademarks and inconsistent royalty flows

The brand had registered trademarks across the EU and US over a decade, but registration ownership was split between the founder personally, an Italian SRL, and an inactive Luxembourg holding from an earlier financing round. Royalty flows from EU and US distributors were inconsistent and exposed the group to potential transfer-pricing challenges. The challenge: consolidate trademarks without losing rights or branding

Trademark assignments must be filed at EUIPO and (separately) at USPTO. A poorly executed assignment can interrupt continuous-use evidence chains, weaken trademark enforceability, or trigger withholding-tax issues on royalty flows under treaty rules. • File the A1, RBO declaration and Revenue tax registration
• Execute trademark assignments at EUIPO and USPTO transferring registrations from the founder and the Luxembourg holding to the Irish LTD
• Draft an exclusive licence agreement granting the Italian SRL the right to manufacture and distribute under the trademarks at an arm’s length royalty
• Draft a non-exclusive sub-licence to the US distributor under treaty-aware withholding terms
• Obtain a Revenue tax residency certificate for the Irish LTD to support treaty access

The outcome: clean royalty flow, treaty access, brand continuity

Within month two, royalty payments from the Italian SRL and the US distributor flowed to the Irish LTD under documented agreements. The Italian SRL retained its operational role and Italian-tax presence; trademarks remained continuously enforceable; the US treaty position improved because the Irish LTD obtained a tax residency certificate. The Luxembourg shell was wound down separately by the founder’s local counsel.
