Company Formation in Ireland for Non-Residents

Chern & Co forms Irish limited companies for non-EEA founders, fully remotely, from EUR 3,000. The Non-Resident package covers CRO incorporation, the constitution, a registered office, RBO filing and tax registration, and meets the Section 137 EEA-resident director requirement through our nominee director service or a bond. In our own practice most companies are ready in 10 to 15 working days.

Irish company formation for directors living outside the EEA

Company formation in Ireland for non-residents must satisfy section 137 of the Companies Act 2014: every Irish company needs at least one director resident in the EEA, or a two-year bond of EUR 25,000. This package takes the director route. For EUR 3,000 excluding VAT you get incorporation with the CRO, an Irish resident director for 12 months, registered office, company secretary, the mandatory tax registrations and the RBO filing. Most companies are incorporated within 10 to 15 working days, and you never need to travel to Ireland.

EUR 3,000 excluding VAT, one payment, CRO fees included. No hidden charges. Request a call back or call +353 1 485 4244.

Chern & Co Ltd is a Trust or Company Service Provider authorised by the Department of Justice, Ireland (APP/1211/2018). Google rating 5.0 from 24 reviews. If you are still checking whether the rule applies to you, our explainer sets out when a non-EU resident needs an Irish resident director.

Why non-residents choose this package

Resident director instead of a EUR 25,000 bond

The package includes a resident director for 12 months, so you keep full control of the company and its bank account and do not tie up EUR 25,000 in a bond. The director is listed in the CRO register to meet the legal requirement, holds no shares and has no access to your finances; the arrangement is set out in a written agreement. Read more on what a nominee director can and cannot do in Ireland. If you would rather act as the sole director yourself, a Section 137 bond is the alternative; we compare the two routes in our guide to choosing between a section 137 bond and a nominee director.

Tax registrations included, not sold later

Corporation Tax registration, PPS number for the director, IPN number for CRO filings and the RBO beneficial ownership filing are part of the price. The company is ready to trade, invoice and open accounts.

Everything done remotely

Documents are signed electronically, originals are posted to you. Whether you are setting up from the UK after Brexit, from the US, Canada, Australia or anywhere else, a named manager handles your file from the first call to the certificate.

What is included in the non-resident company formation package

  • Company name check and registration of a Private Company Limited by Shares (LTD) with the CRO, CRO fee included
  • Full set of statutory documents, digital and printed: certificate of incorporation, constitution (our default text; a custom constitution is a separate service), share certificates, minutes of the first board meeting, register of members, CRO printout
  • Irish resident director for 12 months
  • Company secretary for 12 months
  • Registered office address in Ireland for 12 months
  • IPN number for one non-resident director
  • RBO filing with the Central Register of Beneficial Ownership

  • Information booklets and online access to your company file

Not included: VAT and employer (PAYE) registrations, which depend on your activity and are available as separate services; bank account opening, which we support as a separate service; and the first annual return (Form B1), due six months after incorporation. We remind you in advance and can file it for you. Postage of originals is charged at the postal operator’s rate.

How it works

  1. Call or form. We check your activity, shareholders and directors against Irish rules and confirm the package fits. Same working day.
  2. Documents and verification. Passport, proof of address and the company details; identity verification online. One to two days on your side.
  3. Incorporation. We file with the CRO, appoint the resident director and secretary, and obtain the IPN number. Usually 10 to 15 working days.
  4. Registrations and hand-over. Corporation Tax, PPS, RBO filing, company seal, originals posted to you. Your company is ready to trade.

Questions non-residents ask

Can I own 100% of the company?

Yes. The residency rule applies to directors, not shareholders. You can be the sole shareholder and a director; the resident director we provide satisfies section 137 and has no share in the company. Details: can a non-EU resident own 100% of an Irish company.

What does the resident director do?

The resident director is listed in the CRO register to meet the legal requirement. Day-to-day control, banking and decisions stay with you. The arrangement is set out in a written agreement. See what an Irish nominee director costs in 2026 for what the annual fee covers.

I am in the UK. Can I open an EU company in Ireland after Brexit?

Yes. A UK resident can be the shareholder and a director of an Irish company. Since the UK left the EEA, the company needs an EEA resident director or a bond; the resident director in this package covers that. Many UK businesses use an Irish company to keep trading with EU clients.

Can I open a company in Ireland as a foreigner?

Yes. There is no nationality or residency requirement for shareholders. Directors from any country are accepted as long as one director is EEA resident, which the package provides.

Can I open a bank account?

Irish banks and EMIs assess each company on its activity and ownership. We prepare the documents banks ask for and advise which providers suit your case; account opening is a separate service. Our guide: opening an Irish business bank account as a non-resident.

Which documents do I need?

A valid passport and a recent proof of address for each director and shareholder, the proposed company name and a short description of the activity. We do the rest.

Branch or subsidiary?

A non-EEA parent can register an Irish branch or set up a subsidiary. The subsidiary is a separate Irish company and falls under this package; a branch has its own filing rules. See branch or subsidiary for a non-EEA parent company.

Things to consider

Some activities require VAT registration, certification, insurance or licences. Check the licensing requirements for your activity before registration; we offer consultancy and research for founders. Starting from the name check, company registration in Ireland follows the same CRO process for residents and non-residents; this package adds what a non-resident founder must have on top.

Frequently asked questions

Can a non-resident own and run an Irish company?
Yes. There is no residency requirement to own shares in or be a director of an Irish LTD. Under Section 137 of the Companies Act 2014 at least one director must be resident in the EEA; non-EEA founders meet this with our nominee director service or a Section 137 bond.
What is included in the Non-Resident package at EUR 3,000?
Full CRO incorporation, company constitution, registered office and business address, RBO beneficial-ownership filing and tax registration set-up, all arranged remotely for non-EEA founders.
How long does formation take?
In our own practice, 10 to 15 working days once we have your identification and company details. The CRO publishes no processing standard, only its daily processing position.
Do I need to travel to Ireland?
No. The entire process is completed online and documents are signed electronically.
How do I meet the EEA-resident director requirement?
Add our nominee director service or a Section 137 bond; either satisfies the requirement.
